General Terms and Conditions (GTC)

I) Scope of application

The General Terms and Conditions (GTC) apply to all business transactions between Imbach Coaching & Consulting and its clients or customers. They apply for the duration of the business relationship. These terms and conditions shall be deemed accepted upon commissioning. Any deviations from these GTC must be agreed in writing in advance.

II) Obligation of the customer to cooperate

Advice is provided on the basis of clarification of the assignment and is based on cooperation and mutual trust. Clients are prepared to deal with their situation and take responsibility for implementing it in their everyday lives.

The consultant accompanies the coaching process. The responsibility for decisions and actions lies with the client.

III) General conditions

For open-ended offers, the price maintenance expires after 2 months.

Expenses such as special working tools (e.g. personality profiles), room rental and other external costs are agreed in advance with the client and invoiced separately.

For meetings outside the offices of Imbach Coaching & Consulting, the travel time will be charged according to the offer. A half-fare ticket (1st class) will be charged for train travel.

Imbach Coaching und Consulting normally issues invoices after the service has been provided, payable within 10 days. All prices for services are exclusive of VAT.

 

IV) Coaching processes

Coaching can take place as one-off support or as part of an agreed coaching process with several sessions.

For coaching processes, the number of sessions, duration, price and payment modalities are agreed individually and recorded in a coaching agreement.

Coaching processes are personal and non-transferable.

 

V) Cancellation

Coaching sessions: A free cancellation of the coaching session is possible up to 24 hours before the appointment, for Monday appointments until Friday 12.00 noon, after which the fee is due in full.

Workshops, seminars, presentations and other services: If a definitively placed order is canceled up to 30 days before the start of the order, Imbach Coaching & Consulting will charge for the preparatory work incurred up to this point, including expenses (according to the agreed hourly or daily rate for implementation). In the event of cancellation between 14 and 29 days before the start of the order, 50% of the offer amount will be charged and 100% if less than 14 days before the start of the order.

If an order is canceled by Imbach Coaching & Consulting, the client will be refunded the fee already paid for the work not yet performed. In the case of canceled appointments, an alternative date will be offered if possible. Further claims due to an appointment canceled by Imbach Coaching & Consulting are excluded.

 

VI) Confidentiality

Imbach Coaching & Consulting undertakes to maintain confidentiality towards third parties about all operational, business and private matters of the client or clientele that become known in the course of its activities, even after the end of the assignment. The parties may agree that certain information is passed on to certain third parties. The right to disclose information on the basis of mandatory statutory provisions or official orders remains reserved. For the purpose of quality assurance of her work, the consultant is entitled to include the counseling situations anonymously in an intervision group or supervision.

 

VII) Disclosure of contact data in the context of certifications

As part of a possible certification process, it may be necessary to pass on selected contact details of clients or, in the case of companies, contact persons to the International Coaching Federation (ICF) based in the USA. The data will be passed on exclusively for this purpose and in compliance with the applicable data protection regulations. The client shall ensure that the persons concerned are informed in advance and that they have given their consent to the disclosure.

VIII) Intellectual property

Unless expressly agreed otherwise in writing, all intellectual property rights, in particular all copyrights, to the content, presentations, drawings, illustrations, plans, photographs, designs, brochures and texts created by Imbach Coaching & Consulting, regardless of their protectability and form (i.e. also as data), remain exclusively with Imbach Coaching & Consulting. No provision of these GTC is to be understood as granting third parties any rights of use to the intellectual property of Imbach Coaching & Consulting. To the extent permitted by law, Imbach Coaching & Consulting excludes all liability for damages incurred by third parties through the permitted or unauthorized use of the intellectual property rights of Imbach Coaching & Consulting.

 

IX) Liability

The activity of Imbach Coaching & Consulting is purely a service activity. Success is neither guaranteed nor owed. Any liability is excluded.

The dispatch or electronic transmission of any data is at the risk of the client or customer.

The counseling services offered are not a substitute for any necessary medical or psychiatric treatments and therapies. Participation in counseling requires normal mental and physical resilience.

 

X) Insurance cover

The insurance of the client or clientele is the sole responsibility of the client or clientele. Imbach Coaching & Consulting neither owes nor offers any insurance cover.

 

XI) Place of jurisdiction

The place of jurisdiction is Zurich. Swiss law shall apply, to the exclusion of the conflict of laws provisions.

 

XII) Final provision

Should a provision or supplement to the agreement with the client be or become invalid, this shall not affect the validity of the remainder of the agreement. The parties shall replace the invalid provision with a valid provision that comes as close as possible to the intended economic purpose of the invalid provision. The same applies to any gaps in the agreement.
